Project timelines are estimates based on prompt client cooperation. Delivery schedules are outlined in the Service Agreement. Velorasa LLC includes a defined number of revision rounds per project phase (typically 2–3 rounds). Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Revisions do not include new features or scope changes, which are treated as separate work orders.
The Client retains all rights to materials they provide, including logos, brand assets, content, and proprietary information. The Client represents and warrants that they have the right to use and provide all such materials.
Upon receipt of full payment, Velorasa LLC assigns to the Client all rights to the custom design elements and code specifically created for the Client's project ("Custom Work"). This assignment is effective only after all outstanding invoices are paid in full.
Websites may include stock photography, fonts, plugins, themes, or frameworks licensed from third parties. The Client assumes responsibility for complying with third-party license terms. Velorasa LLC will disclose any third-party assets used.
Velorasa LLC reserves the right to display completed work in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing prior to project commencement.
Velorasa LLC retains ownership of all pre-existing tools, methodologies, proprietary processes, templates, and know-how used in delivering services. These are not transferred to the Client.

Clear, fair, and transparent refund terms for all Velorasa LLC services
We are committed to delivering high-quality work that meets your expectations. This policy outlines the conditions under which refunds may be issued for our services. We encourage open communication — most concerns can be resolved without a refund request.
Due to the custom, labor-intensive nature of website design and SEO services, refunds are handled on a case-by-case basis. Our team invests significant time, expertise, and resources from the moment a project begins. Once work has commenced, deposits and payments made for completed work phases are generally non-refundable. However, we are committed to fairness and resolving genuine concerns.
If a Client cancels a project before any work has begun (within 48 hours of payment and before project kick-off), a full refund of the deposit will be issued, less any payment processing fees (typically 2–3%).

SEO is an ongoing service billed on a monthly cycle. The following terms apply:
One-time SEO audit fees are non-refundable once the audit report has been delivered. If the audit has not yet been delivered and the Client cancels within 24 hours of payment, a full refund will be issued less any processing fees.
Fees for consultation, strategy sessions, or workshops are non-refundable once the session has taken place. If you need to reschedule, please notify us at least 24 hours in advance.
Monthly maintenance retainers are billed in advance and are non-refundable for the current billing period. Cancellation takes effect at the end of the current billing cycle upon 15 days' written notice.

Project timelines are outlined in the SOW and are contingent on:
Delays caused by the Client will extend the project timeline accordingly without penalty to Velorasa LLC. If a project is put on hold by the Client for more than 30 days, a re-activation fee of up to 15% of the remaining project balance may apply.
Invoices are issued according to the payment milestones in the SOW. Payment is due within 7 days of invoice date unless otherwise specified. All prices are in USD and exclusive of applicable taxes.
Payments outstanding beyond the due date accrue interest at 1.5% per month (18% per annum) from the due date until payment is received. Velorasa LLC may suspend all services and withhold deliverables until all overdue amounts are settled.
Intellectual property rights in all custom deliverables transfer to the Client only upon receipt of full payment of all fees under this Agreement. Until then, all work product remains the property of Velorasa LLC.

Upon delivery of each project phase, the Client has 5 business days to review and either accept the deliverable or provide specific written feedback for revisions. If no response is received within 5 business days, the deliverable is deemed accepted. Acceptance of a deliverable constitutes approval of that phase and triggers the associated payment milestone.
Both parties agree to hold in strict confidence all Confidential Information exchanged in connection with this Agreement. "Confidential Information" includes all non-public business information, technical data, strategies, pricing, and client lists. This obligation survives termination of the Agreement by 3 years. Exceptions apply to information that becomes publicly available through lawful means or is required to be disclosed by law.
During the term of this Agreement and for 12 months thereafter, the Client agrees not to directly solicit, hire, or engage any employee or contractor of Velorasa LLC who was involved in the Client's project, without prior written consent from Velorasa LLC.
The Client agrees to indemnify, defend, and hold harmless Velorasa LLC and its officers, employees, and contractors from any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from: (a) the Client's breach of this Agreement; (b) the Client's use of the deliverables in ways not contemplated by this Agreement; (c) any materials provided by the Client that infringe third-party intellectual property rights.
This Agreement remains in effect until all services are delivered and all payments received, unless terminated earlier. Either party may terminate with 30 days' written notice. Upon termination: (a) the Client pays for all work completed to date; (b) Velorasa LLC delivers all completed deliverables upon final payment; (c) each party returns or destroys the other's Confidential Information upon request.
This Agreement shall be governed by the laws of the United States. Any disputes not resolved by negotiation shall be submitted to binding arbitration. The parties waive any right to trial by jury.
This Agreement, together with the applicable SOW or Project Proposal, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements, representations, and understandings. Amendments require written agreement by both parties. Neither party may assign this Agreement without the other's prior written consent.

Velorasa LLC respects the intellectual property rights of others and expects our clients and users to do the same. We comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, and respond promptly to valid notices of alleged copyright infringement.
This policy applies to content on our own website (velorasa.com) and to websites we design and build for our clients. We take copyright complaints seriously and will act swiftly to investigate and address valid claims.
All content on velorasa.com — including text, images, graphics, design elements, code, and media — is either owned by Velorasa LLC, licensed to us, in the public domain, or used under fair use principles. We do not knowingly publish copyrighted content without authorization.

In accordance with the DMCA, Velorasa LLC maintains a policy of terminating service relationships with clients or users who are found to be repeat infringers of copyright. We reserve the right to terminate service agreements and delete associated websites if a client repeatedly infringes intellectual property rights.
All original content on velorasa.com, including but not limited to website designs, written content, graphics, methodology documentation, and educational materials, is protected by copyright law. Unauthorized reproduction, distribution, modification, or use of any Velorasa LLC content without express written permission is prohibited and may result in legal action.
